I see it runs at Win XP SP2 as a regular entry in Spybot.
Here is the Spybot info:

Current filename: C:\Arquivos de programas\Nero\Nero8\InCD\InCD.exe

Database status: Regular entry

Filename: incd.exe

Description
Ahead _InCD_ packet writing software - similar to DirectCD. For Nero 5.0 or 5.5 (InCD3), it does not need to start with Windows. You can run InCD.exe manually before inserting an appropriately formatted CD-RW (CD-MRW) disk. For Nero 6.0, 6.3 or 6.6 (InCD4), it does need to start with Windows. It does not function correctly when you try to run it manually, and you will not have write access to MRW (Mount Rainier) formatted CD-RW (CD-MRW) or DVD-MRW disks. To regain write access and other features, InCD 4 must start with Windows

And this showing in Process Explorer: Nero8\InCD\NBHGui.exe"

I don't use the incd at all, and I don't even install it.  If I want to burn a cd or dvd, I just burn it. 

All it does in effect is allows you to write to a cd/dvd like it's a standard drive, sort of like a floppy.  I've had trouble in the distant past where other computers running other versions of incd wouldn't read them, so I gave up on packet writing software a long time ago.  YMMV.

I'm with Gary. No clue about your problem, because I don't use any of the Nero utilities, save for Burning Rom. Still using 6.6 on the XP machines, too.

Disable it. If you find you need it you can always re-enable it.
